Windows 7 or 8 upgrade question for new system?

For a brand new system build.

1) Do you need to install a previous Windows version first or

2) Can you clean install directly from the upgrade DVD and just enter the serial number of your older version as proof of ownership?

Update:

Thanks for all answers, I've since installed Windows 8.1, I didn't bother with the upgrade, went with the 8.1 full copy, I had too many uncertainties and the price difference was acceptable.

    1.) No. Make sure ur partition scheme is MBR.

    2.) Yes you can but u might need to purchase a new serial number unless you have one that works with more than one activation.
